Terms of service
The agreement between Wizodd Technologies LLC and the businesses that use powerconnect, in plain English.
Effective October 13, 2026
The short version
- powerconnect watches your equipment and advises you. It cannot operate, adjust or switch anything at your sites.
- It is not a fire, security, life-safety or emergency service. In an emergency, call 911.
- No monitoring system catches everything. Alerts depend on sensors, power, network connections and outside services, and they can be late or missing.
- powerconnect does not currently alert you when a sensor stops reporting, including during a power or internet outage at your site. The sensor only shows as offline in the console, so keep your own power-loss alarms.
- Diagnoses are written by AI and can be wrong. You decide what to do, and qualified technicians should do any repairs.
- We are not responsible for spoiled food or stock, lost sales or equipment damage, even if an alert is missed, late or wrong.
- Plans are priced per site, per month, and run month to month unless we agree otherwise in writing. Your written quote or order sets the details.
- Your monitoring data belongs to you. Our Privacy Policy explains how we handle personal information.
- Text alerts (powerconnect Alerts) are being introduced and may not be available for your sites yet. They go only to people who sign up themselves. Reply STOP to cancel or HELP for help.
- If something goes wrong, our total liability is limited to the greater of what you paid us in the previous 12 months (including hardware and installation) or a year of fees at list price for the sites involved.
This summary is here to help. The full terms below are what apply.
1. Agreement and who may use it
These Terms of Service (“Terms”) are an agreement between Wizodd Technologies LLC, a Delaware limited liability company (“Wizodd”, “we”, “us”), and the business that uses powerconnect (“you”, “the client”). They cover our website at wizoddtechnologies.com, the powerconnect console at app.wizoddtechnologies.com, the monitoring service, the sensors we supply, and our powerconnect Alerts text message program.
You agree to these Terms when you sign a quote or order that refers to them, or when you sign in to the powerconnect console after being shown a link to them. We keep a dated copy of every version of these Terms, and we will tell you on request which version applies to you.
- Businesses only. powerconnect is a service for businesses, such as restaurants, ice rinks and small chains. It is not for personal or household use.
- Authority. If you accept these Terms for a business, you confirm that you are allowed to bind that business to them.
- Your people. Anyone you give a console login to, and anyone who joins our text alerts for your sites, must follow the parts of these Terms that apply to them, including Accounts and security, Text message alerts and Acceptable use.
- Your quote or order. If you sign a written quote, order or agreement with us that says something different from these Terms, the signed document wins on that point.
- Website visitors. If you only visit our website, the sections on acceptable use, intellectual property, disclaimers, limitation of liability and governing law apply to your visit.
2. What powerconnect does
Sensors installed at your sites send equipment readings to our monitoring server. When a reading crosses a limit, an alarm is raised. An AI agent then reviews the recent readings and history, writes a plain-English diagnosis, records a service ticket and sends you a message about it.
- Where messages go. Alarms, tickets and messages appear in your console. If you turn on email notifications for a site, messages are also emailed to the people on that site’s notification list. Email notifications are off for each site until you, or we at your request, turn them on. Text alerts are being introduced and may not yet be available for your sites; until then, urgent alerts are sent as URGENT emails. Text messages are sent only to people who have joined the powerconnect Alerts program. Where text alerts are not available for a site, urgent alerts are marked URGENT and delivered in the console and, if email notifications are on, by email.
- Service tickets. Tickets are kept in your console. We do not send them to your contractor or anyone else automatically. A contractor receives alert emails only if you add them to a site’s notification list.
- Monitoring and advice only. Wizodd does not operate, control, adjust or switch your equipment, and the service has no way to do so. Any action on your equipment is taken by you or the people you choose.
- Our sensors’ software. We may update the software (firmware) on our own sensors remotely, for example to fix problems, improve security or add features. These updates change how our sensors work, not how your equipment runs.
- What your plan includes. What is included for your sites is set out in your quote or order. We improve powerconnect over time and may change, add or remove features. If a change would remove something your quote or order specifically includes, we will tell you before it takes effect.
3. Not an emergency or life-safety service
powerconnect is not a fire alarm, a smoke, carbon monoxide, gas or refrigerant detection system, a security or burglar alarm, a medical alert, or any other life-safety system. It is not watched around the clock by people at a central station, and it is not an emergency service.
- In an emergency, call 911.
- For fire, rely on your fire alarm system and the company that monitors it. For gas or refrigerant leaks, rely on the detection and alarm equipment your building needs, such as the refrigerant detectors in an ice-rink plant room.
- Do not rely on powerconnect as the only way you protect food safety, anyone’s health or safety, or your property.
- powerconnect does not replace the temperature logs, inspections or food-safety steps required by your health department, insurer, landlord or franchisor. Keep doing them.
4. No guarantee every problem is caught
We work hard to make powerconnect reliable, but no monitoring system catches every problem or delivers every alert. powerconnect depends on things that can fail, many of which we do not control, including:
- the sensors, and where and how they are installed;
- power and the network or internet connection at your site;
- our hosting, email, AI and text message providers;
- the email systems, spam filters and mobile carriers that carry messages to you.
In particular:
- A problem may not be detected, for example if it does not show up in the readings we collect, or if a sensor is faulty, moved or disconnected.
- No offline alerts. powerconnect does not currently alert you when a sensor stops reporting, including during a power or internet outage at your site, which is often when coolers are most at risk. The sensor only shows as offline in the console, so check your console regularly and keep your own power-loss alarms.
- The AI agent may decide that an alarm was a sensor glitch and not send you a message about it.
- Messages can be delayed, held back when a site raises many alerts in a short time, or fail to arrive. “Sent” means our email or text provider accepted the message, not that it reached the person.
- Alarms are investigated automatically. Wizodd staff do not review every alarm or message, and if the AI agent cannot finish an investigation, you may not receive a message about that alarm.
Unless a signed agreement with us says otherwise, we do not promise any particular uptime, detection rate, response time or delivery time. Words like “24/7” on our website describe how the service is designed to run, not a guarantee.
5. AI diagnoses are advice, not certainty
Diagnoses, recommendations and messages are written by an AI model (Claude, from Anthropic) using the readings and information available to it. They are informed suggestions, not a professional inspection, and they can be incomplete or wrong.
- You decide. You choose whether and how to act on any message, and that decision is yours.
- Use qualified people. Repairs and adjustments to HVAC, refrigeration, electrical, gas, ice-rink plant and water treatment equipment should be done by qualified, licensed technicians. Do not attempt work you are not trained for.
- Food and product safety. When a cooler or freezer runs warm, follow your own food-safety rules and your health department’s guidance. Any food-safety tips in our messages are general reminders, not a judgment about whether food is safe.
- Work by Wizodd. If you ask Wizodd to do on-site work, such as controls or water treatment service, that work is covered by a separate written quote.
6. Your responsibilities
You agree to:
- Keep information accurate. Give us correct details about your business, sites, equipment and contacts, and tell us when they change.
- Keep notification lists current. You choose who receives messages for each site and keep that list up to date in the console. We can also change it for you if you ask. Remove people promptly when they leave or should no longer get alerts.
- Only add people who have agreed. Only add someone to a notification list, or invite them to text alerts, if they work with or for your business, expect to hear from us about your sites, and have agreed to it.
- Act on alerts. Read messages promptly, act on them, and have your own plan for when equipment fails.
- Look after the sensors. Keep our sensors powered, connected and in place. Do not move, cover, unplug or tamper with them, and tell us before the equipment they are attached to is replaced or moved.
- Give access and permission. Give us or our installers reasonable access to install and service sensors, and make sure you have any permission needed, for example from your landlord or the equipment owner, to install them and to share site information with us.
- Use the service lawfully and follow the Acceptable use section.
7. Accounts and security
- Console logins are created by Wizodd for your business. There is no public sign-up.
- Give each person their own login, and do not share logins.
- Keep passwords private, and use a strong password that you do not use anywhere else.
- You are responsible for what happens under your business’s logins.
- Email us at info@wizoddtechnologies.com right away if you think a login has been misused, when someone leaves and their login should be removed, or if you need a password reset.
- We may suspend a login if we believe it has been compromised, and we will tell you when we do.
- Your logins show only your own business’s sites. Wizodd staff can see your data in the console so we can run and support the service.
8. Fees, billing and cancellation
- Plans and prices. powerconnect is priced per site, per month. Your price for each plan is set in your written quote or order.
- Annual prepay. If you pay for a year in advance, you get 2 months free.
- Hardware and installation. The sensor kit and installation are one-time charges that we quote for each site before anything is installed.
- Several sites. Pricing for chains, franchises and other multi-site clients can be custom and is agreed in writing.
- Your quote or order governs. Your quote or order sets your plan, prices, sites, billing schedule and payment terms.
- Taxes. Prices do not include sales or other taxes unless your quote says so. You are responsible for any taxes that apply.
- Late payment. If a payment is overdue, we will tell you. If it stays unpaid, we may suspend the service after giving you notice (see Suspension and termination).
- Price changes. We may change our prices. For month-to-month plans, we will email you at least 30 days before a new price applies to you. A prepaid year keeps its price until that year ends.
Term and cancellation
- Month to month. Plans run month to month unless you and Wizodd agree otherwise in writing.
- Cancelling. You can cancel by emailing info@wizoddtechnologies.com. Your quote or order sets out when cancellation takes effect, any final charges, and what happens to any prepaid amount. If it does not say, cancellation takes effect at the end of the billing period you have already paid for, and fees already paid are not refunded, except where the law requires it or the Suspension and termination or Changes to these terms section says otherwise.
9. Sensors and other hardware
- Your quote or order can set who owns the sensor kit, any hardware warranty, and what happens to the hardware if your service ends. If it does not say:
- Ownership. You own the sensor hardware once it is paid for in full.
- Defects. If a sensor fails because of a defect in materials or workmanship within 90 days of installation, we will repair or replace it. That is your only remedy for a defective sensor.
- After service ends. The sensors stop reporting to powerconnect, and we are not required to remove them.
- EXCEPT FOR THE REPAIR-OR-REPLACE PROMISE ABOVE OR A WARRANTY STATED IN YOUR QUOTE OR ORDER, AND TO THE EXTENT THE LAW ALLOWS, WE GIVE NO OTHER WARRANTY FOR HARDWARE (SEE DISCLAIMERS).
- Installation is done as described in your quote.
- Our sensors run Wizodd software and are made to work with powerconnect. The software stays ours (see Intellectual property), and we may update it remotely.
10. Data and confidentiality
- Privacy. Our Privacy Policy explains what personal information we collect and how we use and share it.
- Your data is yours. The readings, alarms, tickets and messages about your sites (“monitoring data”) belong to you.
- How we use it. You allow us to use your monitoring data, and the site and contact details you give us, to provide, support, secure and improve powerconnect. That includes sharing it with the service providers that help us run it, such as our hosting, email and AI providers. For example, details of an alarm, your site and the contacts you gave us are sent to our AI provider so it can investigate.
- Combined, anonymous data. We may use data that has been combined with other data and stripped of anything that identifies you, your sites or any person, for example to set better alarm limits for a type of equipment. We will not use it in a way that identifies you.
- Confidentiality. We keep your non-public business information confidential. Our staff and service providers use it only as needed to run the service, and we disclose it otherwise only with your permission or when the law requires. Please keep our non-public information, such as quotes and the console, confidential too.
- Copies and deletion. If you want a copy of your monitoring data, or want it deleted after your service ends, email us and we will work with you on it. We may keep records we need for billing, legal or security reasons.
11. Text message alerts: powerconnect Alerts
powerconnect Alerts is the text message program of Wizodd Technologies LLC for urgent equipment alerts. These terms apply to everyone who joins it.
Text alerts are being introduced and may not yet be available for your sites; until then, urgent alerts are sent as URGENT emails (see What powerconnect does). For clients, text alerts come with powerconnect Plus unless your quote or order says otherwise.
- Program name
- powerconnect Alerts
- What you will get
- Urgent equipment alerts for the powerconnect sites you were invited to, for example: “powerconnect: Harbor Rd walk-in cooler at 45F...” You will also get a text confirming that you joined, and replies when you text HELP or STOP. We do not send marketing messages through this program. Messages come from our toll-free number.
- Who can join
- People invited by a powerconnect client, such as the owner, managers, staff or contractors who look after that client’s sites.
- How to join
- The client invites you by email. You open the Wizodd web page linked in the invitation, enter your own mobile number, and tick the consent box next to the program details. The box is never ticked for you. We then send you a text to confirm. Only enter a mobile number that belongs to you. You can see what the sign-up page shows on our powerconnect Alerts page.
- Joining is optional
- Consent to receive text messages is not a condition of any purchase or of using powerconnect.
- How often
- Message frequency varies. Typically a few messages a month per site, and more when equipment has problems.
- Cost
- Message and data rates may apply.
- Help
- Reply HELP to any message for help, or email us at info@wizoddtechnologies.com.
- How to stop
- Reply STOP to any message to cancel at any time. QUIT, END, CANCEL, UNSUBSCRIBE, REVOKE and OPT OUT also work. We will send one text confirming that you have opted out, and then no more messages. You can also opt out by emailing us.
- How to restart
- Reply START to start receiving alerts again.
- Delivery
- Carriers are not liable for delayed or undelivered messages. Texts can be delayed or fail to arrive, so do not rely on them alone. They are not emergency alerts (see Not an emergency or life-safety service).
- Changing your number
- If you change or give up your mobile number, reply STOP first or email us, so alerts do not go to the number’s next owner.
- When alerts end
- Alerts for a site also stop if the client removes you from that site or its service ends.
- Your privacy
- We keep a record of your consent, including when you gave it, your IP address, the wording you were shown, the site, and your name, email and mobile number. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes. See the text alerts section of our Privacy Policy for details.
12. Acceptable use
You agree not to do any of the following, or let anyone else do them:
- access accounts, sites or data that are not yours, or try to get around logins, limits or security;
- probe, scan, overload or disrupt the website, the console, our monitoring server or the sensors;
- copy, reverse engineer or take apart our software, firmware or sensors, except where the law allows it despite this restriction;
- resell the service, or share logins with people outside your business, without our written agreement;
- add people to notification lists or invite them to text alerts without their agreement, or enter someone else’s mobile number;
- use the service to send spam or unlawful content, or for any unlawful purpose;
- send spam or automated requests through our contact form or other parts of our website;
- use the service, or what you learn from it, to build a competing product.
13. Intellectual property
- Wizodd owns powerconnect, including its software, sensor firmware, console, website, AI instructions, and the Wizodd names and logos. These Terms do not transfer any of it to you.
- While your service is active, we give you a limited, non-exclusive, non-transferable right to use powerconnect for your own business.
- You may use the diagnoses, tickets and messages about your sites for your business, for example by sharing them with your contractor.
- If you send us ideas or feedback, we may use them freely without owing you anything.
14. Disclaimers
TO THE EXTENT THE LAW ALLOWS, powerconnect, OUR WEBSITE, THE SENSORS (APART FROM THE REPAIR-OR-REPLACE PROMISE IN SENSORS AND OTHER HARDWARE OR A WARRANTY STATED IN YOUR QUOTE) AND ALL DIAGNOSES AND MESSAGES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
We do not promise that the service will be uninterrupted or error-free, that it will detect every problem, that it will prevent equipment failure or product loss, or that any diagnosis is correct. Services provided by others, such as power, internet access, mobile carriers and our hosting, email and AI providers, are outside our control.
15. Limitation of liability
To the extent the law allows, and however a claim arises (in contract, in tort including negligence, or otherwise):
- Losses we never cover. WHETHER THEY WOULD BE CONSIDERED DIRECT OR INDIRECT, WIZODD AND ITS SUPPLIERS ARE NOT LIABLE FOR: SPOILED OR LOST FOOD, STOCK OR PRODUCT; LOST REVENUE, PROFIT OR BUSINESS; BUSINESS INTERRUPTION; EQUIPMENT BREAKDOWN OR DAMAGE; LOSSES FROM ACTING, OR NOT ACTING, ON ANY DIAGNOSIS OR MESSAGE; OR LOST DATA. This applies even if an alert was missed, late or wrong, and even if we were told such losses were possible.
- No indirect losses. WIZODD AND ITS SUPPLIERS ARE ALSO NOT LIABLE FOR ANY OTHER INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.
- Cap. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS OR powerconnect IS LIMITED TO THE GREATER OF (A) EVERYTHING YOU PAID WIZODD UNDER THESE TERMS, INCLUDING HARDWARE AND INSTALLATION CHARGES, IN THE 12 MONTHS BEFORE THE EVENT THAT LED TO THE CLAIM, OR (B) 12 MONTHS OF FEES FOR THE SITES INVOLVED AT THE LIST PRICE OF YOUR PLAN (powerconnect Basic IF YOU WERE ON A FREE TRIAL OR PILOT).
- What is not limited. These limits do not apply where the law does not allow them, such as liability for fraud. They do not limit what you owe us for the service or under the Indemnity section.
Your insurance. You will look to your own insurance, such as spoilage and equipment breakdown cover, for property, spoilage and business-interruption losses. To the extent your policies allow, you waive, and will have your insurers waive, any right to recover those losses from Wizodd.
Why: powerconnect costs a small fraction of the equipment and stock it watches, and our prices depend on these limits.
16. Indemnity
You will defend Wizodd against any claim by someone else, and cover our reasonable resulting costs, losses and legal fees, to the extent the claim arises from:
- your breach of these Terms or misuse of the service;
- your breaking the law;
- people you added to a notification list or invited to text alerts without their agreement, or information you gave us that you were not allowed to share;
- claims by your customers, employees, landlord, franchisor or others about food, products, equipment or premises at your sites, or about what you did or did not do after an alert.
This does not apply to the extent a claim was caused by Wizodd’s gross negligence or willful misconduct or, for the first three points, by Wizodd’s own breach of these Terms. We will tell you promptly about any claim, let you control the defense, and help where reasonable. You will not settle a claim in a way that admits fault for us or binds us without our agreement.
17. Suspension and termination
Suspension
We may suspend all or part of the service, or a login, if:
- a payment is overdue and still unpaid after we have told you;
- we reasonably believe there is a security risk, misuse of the service, or a breach of these Terms; or
- the law requires it.
We will tell you when we do, in advance where reasonable, and restore the service once the issue is fixed. While the service is suspended, your sites are not monitored and you will not receive alerts.
Ending the service
- You can end your service as described in Fees, billing and cancellation.
- We can end your service by giving you at least 30 days’ notice by email. If we do this for a reason other than your breach of these Terms, we will refund any fees you prepaid for the time after the service ends.
- Either of us can end the service by email if the other seriously breaches these Terms and does not fix the breach within a reasonable time after being told about it.
After it ends
- Monitoring and alerts stop, and console logins are removed.
- Hardware is handled as your quote or order says or, if it says nothing, as Sensors and other hardware describes.
- You pay any fees owed up to the date the service ends.
- Sections that by their nature should continue, such as fees owed, data and confidentiality, intellectual property, disclaimers, limitation of liability, indemnity and governing law, continue to apply.
18. Changes to these terms
- We may update these Terms from time to time. We will post the new version on this page with a new effective date.
- If a change materially affects existing clients, we will email your business’s main contact at least 30 days before it takes effect, unless the change is needed sooner for legal or security reasons.
- If you keep using powerconnect after a change takes effect, you accept the updated Terms. If you do not agree, you can cancel before the change takes effect.
- If you cancel because of a change that materially reduces the service or your rights, we will refund any prepaid fees for the time after cancellation.
- We keep a dated copy of each version of these Terms.
19. Governing law and disputes
- These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
- Any lawsuit about these Terms or powerconnect must be brought in the state or federal courts located in Delaware, and both of us agree to the jurisdiction of those courts, with two exceptions: either of us may bring an individual claim in small claims court in the county where your site is located, and Wizodd may sue to collect unpaid fees in any court that has jurisdiction.
- Before going to court, please email us. Most problems can be sorted out by talking.
20. General
- Whole agreement. These Terms and any quote or order you sign with us are the whole agreement between us about powerconnect. Our Privacy Policy explains how we handle personal information.
- What you relied on. In deciding to use powerconnect, you have not relied on any statement, promise or description, including on our website, in sales material or in conversation, that is not written in these Terms or your signed quote or order.
- Notices. We send notices to the email address we have for your business’s main contact. Send notices to us at info@wizoddtechnologies.com.
- Transfers. You may not transfer these Terms without our written agreement, except to someone who buys your business or the sites concerned. We may transfer them to a company that takes over our business.
- Events outside our control. We are not responsible for failures or delays caused by events beyond our reasonable control, such as power or internet outages, carrier or service provider outages, severe weather or natural disasters.
- If part does not hold. If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a term right away, we can still enforce it later.
- Independent businesses. We are independent businesses. Nothing in these Terms creates a partnership, employment or agency relationship, and no one else has rights under them, except Wizodd’s suppliers, who may rely on Limitation of liability.
